Terms of Service
These terms apply to the clipping service of PromptLab – Simon Marko Johan (“Snip Studio”, “we”) for podcast creators and businesses (“you”).
Our service is offered exclusively to businesses and professional creators acting in a commercial or self-employed capacity, not to consumers. By signing up you confirm that you are booking for business purposes.
1. Service
We create 20 short vertical video clips per month from your podcast episodes, including captions and your branding, provided you upload enough episode material for that number of clips. You provide your episodes as video files via your private upload page. Unused clips do not carry over to the next month.
2. Delivery
We deliver clips within 72 hours after an episode is released or made available to us. Delays caused by missing access or material do not count toward this time.
3. Revisions and approval
Each delivery includes one revision round. Clips are published only by you or with your approval.
4. Price, billing and cancellation
The plan is billed monthly in advance at the price agreed when you sign up (Founding: $300/month for our first 4 clients; Standard: $500/month). Prices are in US dollars, net; any applicable VAT or sales tax is added. You can cancel at any time effective at the end of the current billing month.
5. Money-back guarantee
If you are not satisfied in your first month, tell us within that month and we refund your first monthly payment in full.
6. Your content and rights
You confirm that you hold the necessary rights to the episodes and material you provide, including the rights of guests, music and third parties shown. You may use the clips we deliver without restriction. We will only use your clips as examples (e.g. on our website) with your prior permission. Uploaded original files are deleted 30 days after upload and finished clips 90 days after delivery, so please download your clips in time.
7. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, and where mandatory law (e.g. product liability) applies. For slight negligence, we are only liable for breach of essential contractual obligations and limited to the foreseeable, typical damage, at most the fees paid in the 3 months before the damage occurred. We are not responsible for the performance (e.g. views) of published clips.
8. Final provisions
Changes to these terms will be announced by email at least 30 days in advance. If you do not agree, you can object or cancel before the change takes effect; otherwise the new terms apply from that date. We will point this out in the announcement.
These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Place of jurisdiction is Dillingen an der Donau, Germany, to the extent permitted by law. Should any provision be invalid, the remaining provisions remain unaffected.
